Commercial Graduate
Role Overview
We are looking for a proactive, astute Commercial Graduate to support the delivery of major energy infrastructure transactions across the UK, including Offshore Transmission Owner (OFTO) transactions, interconnector advisory, and large-scale network construction projects governed under the NEC suite of contracts.
This non-contentious role sits at the heart of the advisory and commercial function, supporting the team in the review and drafting of contracts, data room management, legal due diligence, and transaction execution for regulated and merchant infrastructure projects.
Key Responsibilities
Offshore Wind Transmission and Transaction Support Assist in the legal and commercial workstreams of Offshore Wind, OFTO transactions, HVDC Interconnectors, and Regulatory Advisory including data room review, preparation of due diligence reports, and transaction document support.
Liaise with internal and external technical, regulatory, and financial teams to ensure commercial and technical risks are appropriately captured in transaction documentation.
Support the legal counsel in advising project developers and network operators on legal aspects of interconnector projects, including commercial structuring, Grid Code obligations, and regulated revenue mechanisms.
Assist in preparing commercial memoranda and position papers on evolving regulatory frameworks. Assist in advising on commercial and contractual protections, including allocation of regulatory risk Contract Review and Project Support Review and assist in the negotiation of NEC3/NEC4 contracts (ECC, PSC and related forms).
Track key contractual risks, early warnings, compensation event procedures, and compliance obligations. Contract Drafting and Management Draft and review a range of commercial agreements, including NDAs, services contracts, consultancy agreements, and variation orders.
Maintain a contracts register and ensure version control and access compliance. Data Room and Due Diligence Management Manage and review documentation within virtual data rooms as part of divestment, acquisition or regulatory due diligence processes.
Identify gaps, flag red-flag risks, and support the production of internal and external due diligence reports. Reporting Undertake legal research on energy regulation, infrastructure procurement, and network charging to support internal advisory work.
Assist in drafting internal legal notes, board summaries, and regulatory correspondence. Governance and Compliance Lead internal governance monitoring (training requirement, auditing, reporting) and support wider stakeholders (Finance Business Partner, Financial Controller, Divisional Legal Team) in ensuring corporate compliance with relevant laws and policies.
Candidate Profile Qualifications: Degree in law, or equivalent qualification. We also welcome candidates with STEM degree background (e.g. Engineering) who want to transition to Commercial roles.
Paralegal or commercial assistant experience in commercial, energy or infrastructure sectors is desirable but not essential as training will be given.
Skills & Experience:
Familiarity with major infrastructure transactions, particularly in regulated sectors (desirable).
Working knowledge of contracts (NEC, FIDIC) highly desirable.
Excellent document management, communication, and drafting skills.
Ability to manage multiple tasks and prioritise under time pressure.
